Terms of Service

Roofstead is a subscription-based software platform for roofing companies to manage leads, jobs, estimates, insurance claims, production, crews, and money. Subject to these Terms and your paid subscription, we grant you a non-exclusive, non-transferable right to access and use the Service for your own internal business use during your subscription term.

We continue to develop the Service and may add, change, or remove features over time. We aim to give reasonable notice of significant changes.

You are responsible for your account and for all activity that happens under it and under the accounts of the team members you invite. Keep your credentials confidential, use strong passwords, and notify us promptly at info@roofstead.com if you believe your account has been accessed without authorization.

You are responsible for your team members' compliance with these Terms.

Access to the Service is sold on a subscription basis at the plan and price stated in your order. Unless your order says otherwise, subscriptions renew automatically for successive terms of the same length. You may cancel a renewal by giving us at least 30 days' notice before the end of your current term.

We may change plans or pricing by giving you at least 30 days' notice; changes take effect at your next renewal, and you may cancel before they take effect if you don't agree. Fees are billed as stated in your order, are non-refundable except where required by law, and are exclusive of taxes, which are your responsibility. We may charge interest on overdue amounts and, after reasonable notice, suspend the Service for non-payment.

As between you and Roofstead, you own the data that you and your team enter into the Service, including information about your leads, jobs, and customers ("Customer Data"). You grant Roofstead the rights needed to host, process, transmit, and display Customer Data solely to provide, secure, and support the Service for you.

You can export your Customer Data at any time while your subscription is active, and for a limited period after it ends — your data is yours. We may use aggregated and de-identified data that does not identify you or any individual to operate, analyze, and improve the Service. Our handling of personal information is described in our Privacy Policy.

You agree not to:

• resell, sublicense, or make the Service available to anyone other than your authorized team members;
• copy, modify, translate, reverse engineer, decompile, or create derivative works of the Service;
• use the Service unlawfully, to store or transmit unlawful, infringing, or harmful content, or to send messages without required consent;
• probe, scan, or interfere with the security or integrity of the Service, or introduce malicious code.

You are solely responsible for obtaining any consents and providing any notices required for the personal information you put into the Service, including your customers' and homeowners' information.

Roofstead and its licensors own all right, title, and interest in and to the Service, including its software, design, look and feel, and content, and all related intellectual property rights. Except for the limited access rights granted in these Terms, no rights are transferred to you. If you send us feedback or suggestions, we may use them without restriction or obligation to you.

The Service may connect with third-party products and services — for example, supplier ordering, mapping and measurement data, calendar, weather and storm data, payment processing, and messaging providers. Your use of those services is governed by their own terms, and Roofstead is not responsible for them or for the availability or accuracy of data they provide.

We will provide the Service with reasonable care and skill. Except as expressly stated in these Terms, the Service is provided "as is" and "as available," and Roofstead disclaims all other warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted or error-free, or that measurements, estimates, insurance calculations, pricing, or third-party data will be accurate or complete. You are responsible for reviewing all outputs before relying on them or presenting them to your customers.

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to the Service, even if advised of the possibility. Roofstead's total aggregate liability arising out of or relating to the Service will not exceed the fees you paid to Roofstead for the Service in the twelve months before the event giving rise to the claim.

You will defend, indemnify, and hold Roofstead harmless from and against claims, damages, and costs (including reasonable legal fees) arising out of your Customer Data, your use of the Service in violation of these Terms or applicable law, or your failure to obtain any consents or provide any notices required for the information you put into the Service.

These Terms apply for as long as you use the Service. Either party may terminate for the other party's material breach that is not cured within 30 days after written notice. On termination, your right to use the Service ends. You may export Customer Data during your subscription and for 30 days after it ends, after which we may delete it. Provisions that by their nature should survive termination — including data ownership, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you — for example, by email or a notice in the Service — before they take effect. Your continued use of the Service after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. The state and federal courts located in Illinois will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to that venue.
